Our website provides information about ABG CIC and our services and allows you to participate in workshops, surveys and questionnaires designed for the services we offer.

Please read these terms and conditions carefully before you begin to use the site, or any online account you create through it, as together with any conditions we refer to during our workshops, in our privacy policy and in other relevant documents, they make up your agreement with us.

By using the website, you indicate you accept these terms of service. If you’re not happy with them, please don’t proceed with your use of the website or registration.

We may occasionally need to update our terms and, unless stated otherwise, any new features that change or improve the website will be subject to them. Please check our terms from time to time so you are aware of any changes, as these conditions of service are legally binding.

Accessing the website

YOUR PRIVACY AND PERSONAL INFORMATION

You will need to register in order to use certain areas of our website. When setting up an account, you will be asked to provide information about yourself and we may collect, store and analyse data concerning your website usage and online transactions. ABG CIC and/or our respective partners disclaim all warranties and conditions with regard to them, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement.

LIMITATION OF LIABILITY

ABG CIC is not liable to you or any third person for any direct, indirect, consequential, exemplary, incidental, special or punitive loss or damages arising from, relating to, or connected with the website, including the ABG CIC survey materials, even if we are aware or have been advised of the possibility of such damages. 

Notwithstanding anything to the contrary contained here, ABG CIC’s liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the greater of: (a) the amount paid, if any, by you to ABG CIC during the preceding 12-month period preceding your claim; or (b) $100. Certain country laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions or limitations may not apply to you and you may have additional rights.

Third party applications disclaimer

Your access and use of any third party applications or software on our website is at your discretion and risk. ABG CIC has no liability to you arising out of or in connection with your use of these. 

We disclaim any representation, warranty, or guaranty regarding third party applications, whether expressed, implied or statutory, including, without limitation, the implied warranties of merchantability or fitness for a particular purpose, and any representation, warranty, or guaranty regarding the availability, quality, reliability, features, appropriateness, accuracy, completeness or legality of the third party applications. 

You agree to indemnify and hold ABG CIC harmless for any direct, indirect, punitive, incidental, special or consequential damages, or any damages including without limitation damages for loss of use arising out of or in any way connected with the use or performance of the third party applications.

Uploading material to the website

Whenever you make use of a feature that allows you to upload material to the website you must comply with the content standards set out in the Acceptable Use sections of this policy. You warrant that any such contributions do comply with those standards and you indemnify us for any breach of that warranty.

We will not be responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other user of the website.

We have the right to remove any material you have uploaded if, in our opinion, such material does not comply with the content standards set out in our Acceptable Use conditions.

Virus, hacking and other offences

Material downloaded or otherwise accessed through the use of the website is obtained at your own risk and you are responsible for any resulting damage to software or computer systems and/or any resulting loss of data, even if such loss and damage was reasonably foreseeable and ABG CIC had been advised of the possibility of this.

We will report any such breach to the relevant law enforcement authorities and will co-operate with them by disclosing your identity to them. You may not assign these terms of service without the prior written consent of ABG CIC in all instances. We may assign them in whole or in part at any time.

ABG CIC’s performance of this agreement is subject to existing laws and legal process and nothing contained in these terms of service is in derogation of our right to comply with governmental, court and law enforcement requests or requirements relating to your use of the website or information provided to or gathered by us with respect to such use. 

You agree to indemnify and hold ABG CIC, its parents, subsidiaries, affiliates, officers, employees and agents, harmless from any claim, demand or damage, including reasonable attorneys’ fees, asserted by any third party due to or arising out of your use of or conduct in connection with the website. 

If any part of these terms of service are determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations outlined above, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of these terms of service will continue in effect.

ABG CIC may terminate or suspend your access to the website for breach of these terms of service, for inactivity or for any appropriate reason. Any cancellation or termination by you or ABG CIC will not relieve you of any obligations to pay fees accrued prior to this. The website may be discontinued at any time without notice or refund, except for services paid for and not yet rendered by ABG CIC. We will not be liable for any losses or damages arising from any such termination of service.

Governing law & jurisdiction

These terms of service are governed by the laws of England and Wales. You hereby consent to the exclusive jurisdiction and venue of the courts of England and Wales in all disputes arising out of or relating to the use of the website.

Arbitration

At its sole discretion, ABG CIC may require you to submit any disputes arising from the use of these terms of service or the website, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance or termination, to final and binding arbitration under the LCIA rules, which are incorporated by reference into this clause. There will be one arbitrator and the arbitration proceedings will take place in London, England, in English. By using the website, you consent to submission of any dispute to final and binding arbitration.

Limitation on time to file claims

Any cause of action or claim you may have arising out of or relating to these terms of service or the website must be commenced within one year after the cause of action accrues, otherwise such cause of action or claim is permanently barred.
